Applicable law:

The legal relationship between MAICURU Hardwoods GmbH and the Buyer shall be governed by the United Nations Convention of 11 April 1980 on Contracts for the International Sale of Goods (UN Sales Convention) in the English version. The standard terms of trade shall be those of INCOTERMS 2020 of the International Chamber of Commerce and of the provisions stipulated to this effect in this Sales Contract.

Outside the application of the UN Convention on Contracts for the International Sale of Goods, the contractual and non-contractual relations between MAICURU Hardwoods GmbH and the Buyer shall be governed exclusively by German substantive law to the exclusion of the conflict-of-law rules of private international law.

The Force Majeure (Exemption) clause of the International Chamber of Commerce (ICC Publication No. 421) is hereby incorporated in this contract.

Price change:

The buyer is advised that the purchase price stated in the order confirmation is based on the current goods and producer prices of our suppliers. Considering that there is a longer period of 4 months between the order of the goods and the delivery date requested by the customer, it cannot be ruled out that the goods and producer prices have increased or decreased significantly before the start of production. In view of this, the following applies:
If the global market price level has risen or fallen by an average of more than 10 % between the conclusion of the contract and the start of production for similar and comparable delivery products, either of the contracting parties can request the other party to enter into new price negotiations. If the negotiations do not lead to an amicable solution, either of the parties is entitled to withdraw from this contract.

Place of performance/Place of jurisdiction:

The place of performance and payment for all obligations arising out of the legal relationship between MAICURU Hardwoods GmbH and the Buyer shall be Wolfratshausen/Germany.

Any dispute arising out of or in connection with the contract, including any question regarding the existence, validity or termination thereof, shall be resolved in the court with jurisdiction at the registered office of the seller (i.e. Amtsgericht Wolfratshausen or Landgericht München II). Overriding statutory provisions, in particular on exclusive competences, shall remain unaffected.
